Former Controlling Shareholder Completes Share Transfer — Aureole Halo Limited Becomes the Controlling Shareholder

The Company has been notified that Aureole Halo Limited and RBC Venture Limited, the former controlling shareholder of the Company, have completed the share transfer transaction, and Aureole Halo Limited has formally become the controlling shareholder of the Company.

On 10 April 2026, Aureole Halo Limited entered into a share purchase agreement with RBC Venture Limited to acquire 945 million shares of the Company, accounting for 75% of the total issued share capital. The total consideration was HK$157.5 million, at HK$0.167 per share. The transaction was completed on 24 April 2026.
